Terms & Conditions

These Terms & Conditions (the "Terms") form a binding agreement between Edvanta Labs Ltd ("Edvanta", "we", "us") and the entity or individual who uses our websites, products, and services (the "Customer" or "you"). By accessing or using the Services, you agree to be bound by these Terms.

1. Accounts and eligibility

You must be at least 16 years old and have authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Services and changes

We may modify features, suspend, or discontinue parts of the Services with reasonable notice where practicable. We will not materially reduce core functionality of a paid plan during a committed term.

3. Fees and payment

If you purchase a paid plan, you agree to pay all fees described at checkout or in an applicable order form. Fees are non‑refundable except as required by law or expressly stated otherwise.

4. Acceptable use

You will not: (a) misuse the Services, (b) attempt to access without authorisation, (c) reverse engineer components except to the extent permitted by law, (d) infringe third‑party rights, or (e) upload unlawful or harmful content.

5. Intellectual property

The Services and all related materials are protected by intellectual property laws. We grant you a limited, non‑exclusive, non‑transferable licence to use the Services during your subscription, subject to these Terms.

6. Customer content

You retain ownership of content you submit. You grant us a worldwide, non‑exclusive licence to host, process, and display such content for the purpose of providing the Services and improving them in accordance with our Privacy Policy and applicable law.

7. Confidentiality

Both parties agree to protect each other's confidential information and to use it only for purposes related to the Services. This obligation survives termination.

8. Data protection

We process personal data as described in our Privacy Policy and in accordance with UK GDPR. Data processing terms may be provided for enterprise customers upon request.

9. Third‑party services

The Services may interoperate with third‑party products. We are not responsible for third‑party terms or policies, and your use of them is at your discretion.

10. Warranties and disclaimers

The Services are provided on an "as is" and "as available" basis. Except as expressly stated, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement.

11. Limitation of liability

To the maximum extent permitted by law, Edvanta will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill. Our aggregate liability under these Terms will not exceed the amounts paid by you to us for the Services in the 12 months prior to the event giving rise to liability.

12. Indemnification

You agree to indemnify and hold Edvanta and its affiliates harmless from claims arising out of your use of the Services or violation of these Terms.

13. Term and termination

Either party may terminate for material breach if not cured within 30 days of notice. Upon termination, your right to access the Services ceases, but Sections 5–13 survive.

14. Governing law and disputes

These Terms are governed by the laws of England and Wales. Courts in London shall have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

15. Changes

We may update these Terms from time to time. If changes are material, we will provide notice via the Services or email. Continued use after changes become effective constitutes acceptance.
